Temporarily
The board member is hospitalized, on maternity leave, or temporarily away from board duties, with the hope of resuming their work later:
If the association is not in the process of reporting, you do not need to do anything inside Unioo.
If the board member holds important functions within the board, you must, of course, have someone else take over these functions during this period, so, for example, bills are paid, accounting is done, and meetings are called. If they are the only one with authorization for the bank, you will need to make a new report to the bank as soon as possible so that another person can be granted authorization. If the association is in the middle of a report, a deputy should step in if this is stated in the bylaws. The deputy should be added as a regular board member in the report if they are to be granted authorizations. The original board member is removed if they cannot sign (they must be re-registered through a new report after the absence). They can still sign, if possible, despite the ongoing absence they will have. Read the bylaws to ensure you understand the association's procedure in these cases. In some cases, the bank may approve that the board member is exempt from signing despite their absence – this can be decided by your bank.
Permanent
The board member has passed away or will not return to board duties for another reason:
If it is mid-year or if the deceased board member holds an important function and has authorizations, another member from the board should open the report and remove the deceased board member, after which the rest of the board must sign the new report. Remember to transfer the deceased board member's roles and authorizations to others. Read about starting a new report here. If it is close to a general meeting, you can simply wait until after the general meeting to remove them, as a new report will need to be made anyway.
If it is in the middle of a report, simply remove the deceased board member from the report. If the signing of the report is already in progress, the reporter must stop the report and remove the member, and then everyone must sign again. Read more about this here.
Read the bylaws
Always consult the association’s bylaws about these matters, as there is likely a procedure in place for what should happen if a board member exits unexpectedly. For example, it may specify who should take over the departed board member’s role(s) and authorizations.
